March 24, 2006 Alcatel and Lucent Technologies confirm they are engaged in discussions about a potential merger of equals.

April 2, 2006 Alcatel and Lucent announce they have entered into a definitive merger agreement.  Announcement includes details concerning the combined company’s governance, key leadership appointments and expected cost synergies.  Also states that the combined company intends to form a separate, independent U.S. subsidiary holding certain contracts with U.S. government agencies. 

April 3, 2006 Lucent announces it will establish a separate subsidiary to perform research and development work for the U.S. government that is of a sensitive nature.  Nominates three distinguished members of the national security community to serve on the independent subsidiary’s board.                            

May 5, 2006 Alcatel and Lucent announce joint integration team.

May 9, 2006 Alcatel and Lucent announce the filing of a Registration Statement with the U.S. Securities and Exchange Commission (SEC).

June 7, 2006 Alcatel and Lucent are notified they have received early termination under the Hart-Scott-Rodino US Antitrust Improvements Act of 1976 (HSR).

June 16, 2006 Alcatel and Lucent file for European antitrust approval.

July 10, 2006 Alcatel and Lucent confirm timing of proposed merger, announce organizational structure and additional leadership appointments, and provide update on achievement of key milestones.

July 24, 2006 The European Commission grants its approval of the proposed merger.

July 26, 2006 Alcatel and Lucent name additional members to the senior leadership team for the combined company. 

July 27, 2006 Alcatel announces resolutions with respect to the appointment of directors for the combined company.

July 28, 2006 Serge Tchuruk and Pat Russo inform employees at both companies that they have decided to combine the names of "Alcatel" and "Lucent" as the name for the future combined company.

Aug. 4, 2006 The SEC declares effective Alcatel’s Registration Statement on Form F-4, as amended, registering new Alcatel ordinary shares with the SEC.

Aug. 7, 2006 French securities regulator, the Autorité des marchés financiers (AMF), grants visa (approval) relating to Alcatel’s new ordinary shares to be issued in connection with the proposed merger transaction. 

Aug. 23, 2006 Alcatel and Lucent confirm filing for CFIUS (Committee on Foreign Investment in the United States) review.

Sept. 1, 2006 Alcatel announces it has signed an agreement with Nortel to acquire its UMTS radio access business.

Sept. 7, 2006 Shareowners of both companies vote to approve the proposed merger.

Nov. 17, 2006 Alcatel and Lucent announce they have received approval from CFIUS to proceed with the proposed merger transaction. 

Nov. 30, 2006 Alcatel and Lucent complete merger transaction.

Dec. 1, 2006 Alcatel-Lucent officially begins joint operations.
